Agreement between you and Alinea Law Members
You are responsible for making all arrangements necessary for you to have access to the Website. You are also responsible for ensuring that all persons who access the Website through your internet connection are aware of these Terms and that they comply with them.
The Website is offered to you conditional upon your acceptance of these Terms and any notices contained in these Terms and the Website itself. Please read these Terms carefully before you start using the Website. By using the Website, you agree to these Terms and notices.
Alinea Law Members is not a law firm
Alinea Law Members provides a platform for legal information and self-help as well as information about events and other benefits and opportunities provided by Alinea Law Members. The information provided by Alinea Law Members along with the content on our Website related to legal matters ("Legal Information") is provided for your private use and does not constitute legal advice from qualified lawyers. We cannot guarantee that Legal Information is correct, current or up-to-date, nor suitable for every situation.
The documents available on the Website are templates reasonably fit for use by you as a starting point for the preparation of legal documents. They are only intended to be used as templates, to be adapted by you to meet your individual requirements. Therefore, if you need qualified legal advice for your specific problem, or if your specific problem is too complex to be addressed by our tools, please consult a suitably qualified lawyer using our Ask A Lawyer service in accordance with our Instructed legal work arrangement section below. Neither Alinea Law Members, nor any Legal Information provided by Alinea Law Members is a substitute for legal advice from a suitably qualified lawyer, unless it is provided by an Alinea Law Members Solicitor as per the Instructed legal arrangement section below. As Alinea Law Members is not a law firm, please note that any communications between you and Alinea Law Members may not be protected as confidential information under legal professional privilege, unless it is covered under the Instructed legal arrangement section below.
Your use of the Website does not create a lawyer-client relationship between you and Alinea Law Members, or between you and any Alinea Law Members employee or representative, unless it is covered under the Instructed legal arrangement section below. You represent yourself in any legal matter you undertake through our Website, unless you are otherwise represented by a lawyer, including a solicitor with whom you initiate contact through our Ask A Lawyer service (an "Alinea Law Members Solicitor") and instruct the Alinea Law Members Solicitor as per the Instructed legal work section below.
Instructed legal work
Although Alinea Law Members is not a law firm, through the Website you can instruct a Service Provider to provide you with instructed legal work under separate terms and conditions. Instructed legal work will be subject to the terms and conditions issued to you by the Service Provider in question. For the purposes of this section, instructed legal work is advice provided outside of the scope of our Ask A Lawer service under a fee arrangement agreed between you and the Service Provider.
Interactions with Service Providers
When you use our Website, you will have the opportunity to initiate contact with a Service Provider.
Service Providers are neither employees nor agents of Alinea Law Members and have agreed to provide online answers, limited consultations or other basic legal services to Alinea Law Members users.
Before retaining a lawyer, you should carefully consider the lawyer’s knowledge and experience and ask for a written services agreement detailing the terms and conditions of the engagement, including all fees, expenses and other obligations.
Our Alinea Law Members Ask A Lawyer service is subject to further terms and conditions, which are set out below under the heading "Ask A Lawyer Terms and Conditions".
Paid membership plans
Alinea Law Members offers pay-monthly and pay-annually membership plans.
Cancellation of your membership
If for any reason you decide that you do not want to continue with your membership, you can cancel it on the Website, on your account Dashboard, at any time and your account will not renew and you will not be charged anything further for membership.
You have 14 (fourteen) calendar days (the Statutory Period) from the date you became a Member to cancel your membership and be eligible for a refund unless you have downloaded any documents from the Website or have used our Ask A Lawyer service in which case no refund will be payable.
Any request for a refund has to be made before the end of the Statutory Period to [email protected], otherwise, you will not be entitled to a refund. In the case of cancellation during the Statutory Period your membership will come to an end on the date of cancellation and you will be automatically downgraded to a free membership. If you do not request a refund before the end of the Statutory Period, you will be charged till the end of the month, during which time, you will continue to have access to the Website and services.
Fees and renewals
From time to time, we may offer different subscription terms. The membership fees for such subscriptions may vary. Except as set out below, the membership fees are non-refundable. We will give you notice via email of annual renewals no less than three (3) calendar days before your annual renewal date.
Monthly plans will automatically renew on a monthly basis until cancelled by you. Unless you notify us before the renewal date of the membership that you wish to cancel, your subscription will automatically renew. You authorise us (without notice) to collect the applicable membership fees using any valid payment source we have on record for you.
Alinea Law Members monthly plan
An Alinea Law Members monthly plan gives you access to unlimited documents and other premium features on a monthly rolling basis.
If you are enrolled in the Alinea Law Members monthly plan, you may choose to cancel your plan at any time before the date of the next monthly renewal. If you do so, you will be charged to the end of the month, during which time you will continue to have access to the Website and services. Except as set out below, there are no refunds or credits for partial months.
Alinea Law Members annual plan
An Alinea Law Members annual plan gives you access to unlimited documents, electronic signatures, document sharing and other premium features for a year.
If you are enrolled in the Alinea Law Members annual plan, you may choose to cancel your plan at any time before the end of the date of the next annual renewal, with ninety (90) calendar days’ notice. The 90-day notice requirement does not apply to cancellations after the end of date of the next annual renewal, unless you choose to renew your annual plan.
If you are charged a one-time annual fee, you will receive a partial year refund for the remaining term after the 90-day notice period. The 90-day notice period is not a penalty, but rather, an alternative option available to you to comply with your obligations under these Terms.
Failure to provide subscription payments
If you are enrolled in either an Alinea Law Members monthly plan, or an Alinea Law Members annual plan and fail to provide a full subscription payment on time, we reserve the right to deem such a failure as notice of cancellation and cancel your account immediately. Further, if we are unable to charge your designated payment method for any reason, we reserve the right to automatically downgrade your paid plan to a lower-priced plan or to suspend your paid membership until your designated payment method can be charged again.

Please note that we may need to ask you to provide proof of your identity and that the provision of the Company Formation Service is subject to the receipt of this information.
Limitation of liability
We do not accept liability of whatever nature for errors or omissions in the company formation information you submit through our Website or for any such company formation applications which are subsequently rejected by Companies House.
We do not accept liability should your company be struck off and/or removed from the register in the event that your company fails to meet the statutory requirements.
It is your responsibility to ensure that any company name you choose is available for registration and can lawfully be used by you. We accept no liability for your choice of name.
Services not included as part of the Company Formation Service
Alinea Law Members’ Company Formation Service does not include any of the following in respect of any of purchase options we offer on the Website:
• Accountancy advisory services;
• Tax advice;
• Auditing of your books;
• Any other service not expressly mentioned; or
• Any advice regarding the suitability or adequacy of any company you may register using our Company Formation Service.
We recommend that you seek independent advice before purchasing a Company Formation service from us. Alternatively, you can speak to a suitably qualified lawyer using our Ask A Lawyer service.
In the event that you purchase our Company Formation Service but then change your mind prior to the submission of the company details to Companies House, we will refund all monies paid to us, from which we reserve the right to deduct a £10.00 administration charge. This charge covers our merchant charges (both on the purchase and the refund), as well as other incidental expenses. Refunds cannot be given once the company details have been submitted to Companies House.
Validity of electronic signatures
Alinea Law Members enables you to send and receive valid electronic signatures in the United Kingdom under the Regulation (EU) No 910/2014 (the "eIDAS Regulation"). Alinea Law Members does not authenticate users’ signatures or identities.
By using the Website and the services, you consent to using electronic signatures on Alinea Law Members. You also agree that no certification authority or other third party verification is needed to validate your electronic signature and that the lack of such certification or third party verification will not in any way affect the enforceability of your electronic signature or any resulting contract signed using Alinea Law Members’s technology.

These Ask A Lawyer Terms and Conditions, and the Alinealawmembers.co.uk Terms and Conditions, which cover your use of the information, software, products, and services contained in or available through the Alinealawmembers.co.uk website (the “Website”) constitute a legal agreement between you and Alinea Law Members.
Ask A Lawyer is offered to you subject to your acceptance without modification of the terms, conditions, and notices contained in these Ask A Lawyer Terms and Conditions. Your use of the Ask A Lawyer service constitutes your acceptance and agreement to all such terms, conditions, and notices.
It is important that you read these Ask A Lawyer Terms and Conditions, particularly the limited terms of engagement and disclaimers sections, which explain the basis on which the Alinea Law Members Ask A Lawyer service is provided to you.
You can purchase annual or monthly Membership of Alinea Law Members (“Alinea Law Membership”). Any individual or business who purchases Alinea Law Membership from Alinea Law Members is a “Member”.
Alinea Law Membership may include certain access to legal Information, which includes, but is not limited to, questions, answers, articles and legal documents that are available on the Website. Members may also have access to legal services from independent lawyers (“Service Providers”) on the basis of these Ask A Lawyer Terms and Conditions.
Service Providers are independent, third party lawyers or law firms. They are not Alinea Law Members employees or agents, and do not represent Alinea Law Members. Each Service Provider is solely responsible for the legal services provided directly to you. All such services are delivered in connection with a separate relationship between the Service Provider and you, to which we are not a party. Alinea Law Members does not provide legal advice or services.
You cannot transfer or assign your Alinea Law Membership to another party. However, certain benefits may allow a Member to extend coverage to your Eligible Family Members (as defined below), or your designated business. The "Effective Date" for each Eligible Family Member is the date on which the Eligible Member elects to extend coverage to such family member.
The term "Eligible Family Member" means a Member’s spouse or cohabiting partner, dependent children who are under the age of 18 and any dependent relatives living in the Member’s home, such as a parent. Each Eligible Family Member to whom you extend cover under this Agreement is considered a Member under Ask A Lawyer and is bound by the terms of this Agreement.
Benefits & Features
The following services may be available to Members at no charge from your Service Provider:
- one free consultation, as defined below, per Member per month; and
- fixed fee quotes or pre-negotiated billing rates and service commitments from a nationwide network of lawyers.
You will only be entitled to use Ask A Lawyer whilst you meet the criteria above for a Member or an Eligible Family Member.
The Service Provider you contact through Ask A Lawyer will provide free initial phone, email or in-person consultations (whichever, in the reasonable opinion of the Service Provider, is appropriate to the matter in question), limited to 30 minutes, for each new legal matter. The Service Provider will answer any basic questions asked by the Eligible Member in relation to the legal matter during the consultation.
The Service Provider shall ensure that it is available, during normal business hours, for the initial free phone, email or in-person consultation within 5 days of accepting a request from Alinea Law Members.
Limited terms of engagement
If you access free legal services as part of Ask A Lawyer, those free legal services will be provided to you by the relevant Service Provider, not Alinea Law Members, and Alinea Law Members shall have no liability to you in respect of those free legal services. The Service Provider may issue to you a letter of engagement or other form of contract before providing the free legal service to you and, if so, the terms of that letter of engagement or contract shall apply to the provision of the free legal service and the relationship between you and the relevant Service Provider.
However, until such time as the Service Provider issues to you its own letter of engagement or contract to you, the following limited terms of engagement shall apply to the provision of the free legal service and the relationship between you and the relevant Service Provider:
The Service Provider will use reasonable skill and care when providing the free legal service.
In any consultation forming part of the free legal service, the Service Provider’s responsibility will be limited to:
- bringing to your attention the key legal issues that may arise in the situation which you are consulting the Service Provider;
- highlighting points that you may need to consider further or where you may need further information before proceeding; and
- where appropriate, describing some of the main options open to you.
It is in the nature of the free legal service that the Service Provider will only have access to limited information about your situation and/or your proposed use of any document; therefore, the Service Provider cannot as part of the free legal service provide you with definitive legal advice about your situation and the Service Provider cannot recommend that you follow any particular course of action. If you need definitive legal advice or a recommendation on a course of action, you will need to appoint the Service Provider or another lawyer to act for you. Where you appoint the Service Provider, the discounted hourly rates referred to above will apply.
The Service Provider will respond to your enquiries as soon as is reasonably practicable but will not be liable for failing to meet any particular deadline or respond within any particular time scale.
The Service Provider will not be responsible for (and shall have no liability to you in respect of):
- use outside of England & Wales of any document or information provided by the Service Provider (for the purposes of Ask A Lawyer and the free legal service, the Service Provider offers legal services relevant to England & Wales only);
- use by any person other than you of any document or information provided by the Service Provider;
- verifying the information you provide to the Service Provider or include in any document;
- researching or investigating information about your situation or circumstances (the Service Provider will rely on the accuracy and completeness of the information you provide);
- supervising or checking the execution of any document or managing or carrying out any transaction on your behalf; and
- updating any information provided to you after its date of provision or notifying you of any changes to the law which may be applicable to any situation or document about which you have consulted the Alinea Law Members Solicitor or Service Provider in the past.

Alinea Law Members Ask A Lawyer is not an insurance product or pre-paid legal service of any kind. Alinea Law Members is not a law firm and does not give legal advice. The Website does not create a solicitor-client relationship between you and us. The Website is an online venue that facilitates communication between potential users of legal services and legal professionals. By using Alinea Law Members Ask A Lawyer, you acknowledge that you are initiating contact with prospective Service Providers. Any communications with Alinea Law Members do not create a solicitor-client relationship with Alinea Law Members and are not subject to a solicitor’s duty of confidentiality, unless such communications are made under the instructed legal work terms and conditions mentioned above. Any information provided on the Website is not a substitute for the advice of a lawyer.
Although Alinea Law Members has used its reasonable efforts to ensure that the Service Provider is regulated by the Solicitors’ Regulation Authority (the SRA) and that it carries the professional indemnity insurance required by the SRA, Alinea Law Members does not accept any liability or responsibility for a Member’s choice of Service Provider.
Alinea Law Members does not guarantee that Members will successfully find legal representation through Alinea Law Members Ask A Lawyer. Engaging a lawyer is an important decision that should not be based solely upon advertisements. Service Providers may provide certain information regarding legal practice areas, pricing, and experience on their websites. The Lawyer Profiles are advertisements and you should read and interpret them as such. Alinea Law Members does not investigate, verify or warrant the accuracy of such information. As stated, Service Providers are third-party independent contractors who are solely responsible for the legal service provided directly to you, not through Alinea Law Members, using a separate lawyer retainer agreement between you and the Service Provider.
As with all legal situations, you should discuss any concerns you may have regarding the legal representation with your lawyer and get your agreement in writing. Most Services Providers discourage the use of e-mail for confidential or sensitive information. You are solely responsible for assessing the quality, integrity, and trustworthiness of all persons with whom you communicate regarding your legal needs.
Each Service Provider is solely responsible to you for maintaining the lawyer-client relationship and all legal services provided. Each Service Provider reserves the right to make independent professional judgments regarding the legal representations. Alinea Law Members has no influence on or involvement in the professional services of the Service Providers. No representation is made that the quality of the legal services to be performed is greater than the quality of legal services performed by other lawyers. Results of a lawyer’s prior legal representation do not guarantee a similar outcome.
You acknowledge and agree that Alinea Law Members may establish general guidelines regarding Ask A Lawyer, including without limitation, the maximum number of free legal services you may receive in a given period of time. In addition, you are responsible for your own costs of using Ask A Lawyer (e.g. telephone call charges). You also acknowledge and agree that Alinea Law Members reserves the right to modify or amend these general guidelines at any time, in its sole discretion. Alinea Law Members will give you notice of any modification or amendments which cause a material reduction in the availability, benefits and feature of Ask A Lawyer.
If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the legal authority to bind such entity to these terms, in which case the terms "you" or "your" shall refer to such entity. If you do not have such authority or if you do not agree with these Ask A Lawyer Terms and Conditions, you may use Ask A Lawyer. If Alinea Law Members discovers that you do not have authority to bind the entity for which you have purchased the membership, you will be personally responsible for the obligations in this Agreement and your Alinea Law Members account, including without limitation, any payment obligations.
Alinea Law Members is not liable for any loss or damage resulting from our reliance on any instruction, notice, document or communication, reasonably believed by us to be genuine and delivered by an authorised representative of your company. If there is reasonable doubt regarding the authenticity of any such instruction, notice, document, or communication, we may, but are not obliged to, require additional authentication from you. You must immediately alert Alinea Law Members of any fraudulent, unauthorised, illegal, or suspicious use of Ask A Lawyer, or any other breach of security or unauthorised or illegal activity that you reasonably suspect.
